Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Consortium Solution Services Group, LLC, together with its affiliated entities Consortium Solutions Group (CSG) and Consortium Solution Enterprises (CSE), collectively referred to as "CS3 EGS," "Company," "we," "us," or "our."

By accessing or using our website at www.cs3egs.com ("Website"), engaging our services, or entering into any business relationship with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. CS3 EGS is a collaborative network of B2B enterprises serving the aerospace, defense, and commercial sectors. We provide integrated aerospace support, management consulting, engineering services, business development, and professional services to government agencies, defense contractors, and commercial clients.

Our organization maintains various certifications and contract vehicles including 8(a) certification, Service-Disabled Veteran-Owned Small Business (SDVOSB) status, GSA Schedule contracts, and quality certifications including AS9100:2016 and ISO 9001:2015. We are ITAR registered and compliant with applicable federal regulations.

CS3 EGS operates as a government contractor and subcontractor subject to various federal laws, regulations, and requirements. Users engaging with us on government-related matters acknowledge and agree that:

• All communications and activities must comply with applicable procurement laws and regulations, including the Federal Acquisition Regulation (FAR)
• No discussions or agreements may violate organizational conflict of interest (OCI) requirements
• Information shared may be subject to government audit and disclosure requirements
• Export-controlled information is subject to ITAR and EAR compliance requirements
• Teaming and subcontracting arrangements are subject to applicable small business regulations

Users warrant that they are not debarred, suspended, or otherwise ineligible for government contracts or participation in government programs.

Disclaimer of Warranties

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

• The parties shall first attempt to resolve any dispute through good faith negotiations
• If negotiations fail, the parties agree to submit to mediation before pursuing other remedies
• Any litigation shall be brought exclusively in the state or federal courts located in St. Johns County, Florida, and you consent to the personal jurisdiction of such courts

Notwithstanding the foregoing, disputes related to government contracts may be subject to different dispute resolution procedures as required by applicable law or contract terms.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice by updating the "Last Updated" date at the top of these Terms and, where appropriate, provide additional notice.

Your continued use of the Website following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Website.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

These Terms do not supersede any written agreements, contracts, statements of work, or other binding documents executed between you and CS3 EGS for specific services or business relationships.
